2. Services. Company is a marketing business which uses proprietary technology to generate appointments/results on a nonexclusive basis to Customer which then allows Customer to connect with prospects (the “Services“) in accordance with these Terms.
“Credit” means a single pre‑paid appointment entitlement delivered by Company under the applicable Service Level. Credits are a measure of service volume only, have no cash value, are non‑refundable, and are not transferable except as expressly authorized in writing by Company.
5. Customer’s Acts or Omissions. If Company’s performance of its obligations under this Agreement is prevented or delayed by any act or omission of You or your agents, subcontractors, consultants, or employees, Company shall not be deemed in breach of its obligations under this Agreement or otherwise liable for any costs, charges, or losses sustained or incurred by You, in each case, to the extent arising directly or indirectly from such prevention or delay. Furthermore, any violation of Customer’s Obligations, including any improper use of the Services or manipulation of the Obligations, shall result in Services being suspended indefinitely without refund or replacement of appointments. For clarity, improper use of the Services includes, without limitation, manipulating or misrepresenting appointment outcomes (such as classifying Kept Appointments as “no‑shows” or failing to report Kept Appointments). Such conduct may result in suspension of Services, loss of replacement eligibility, and/or termination without refund.
6. Fees; Recurring Payment Terms; Service Levels; Pauses; Late Payments
6.1 Subscription Duration and Commitment Terms.
Monthly Commitment: Subscriptions labeled as “Monthly” have a minimum commitment of one (1) month, billed monthly.
Quarterly Commitment: Subscriptions labeled as “Quarterly” have a minimum commitment of three (3) months, billed monthly.
Annual Commitment: Subscriptions labeled as “Annual” have a minimum commitment of twelve (12) months, billed monthly (or annually if expressly stated on the product label).
6.2 Pauses.
6.3 Service Levels & Appointment Replacement Policy.
Tier 1 – Lite – No Replacement: No replacements are provided for no show appointments.
Tier 2 – Standard – 50% Replacement: Company will replace up to fifty percent (50%) of ordered appointments if they are marked as a no show. For example if 60 appointments are ordered, no more than 30 no shows would be replaced.
6.4 Early Termination.
6.5 Cancellation Notice.
Services may only be discontinued if Customer provides prior written notice to Company at support@revenx.com at least two (2) days before the next billing cycle.
6.6 Late Payments.
6.7 No Refund Policy.
6.8 Billing Disputes.
You must provide Company with written notice of any billing dispute, including supporting documentation, within fifteen (15) days of the charge date. Failure to provide timely written notice constitutes waiver of the right to dispute that charge.
6.9 Credits; Scheduling; Expiration; Forfeiture.
(a) Credits are deemed earned, applied, and consumed when Company schedules or attempts to schedule an appointment in accordance with the applicable Service Level, regardless of whether Customer attends, cancels, or reschedules, except to the extent a replacement is expressly provided under Section 6.3.
(b) Credits are tied to the applicable Commitment Term and must be used during that Commitment Term. Unused Credits automatically expire at the earlier of: (i) thirty (30) days after the end of the applicable Commitment Term, or (ii) the effective date of cancellation or termination of this Agreement for any reason. Expired Credits are forfeited and are not refundable, in whole or in part.
(c) If Customer is more than sixty (60) days past due on any invoice, Company may treat the account as “Cancelled – Non Payment,” immediately cease all work, and permanently forfeit any and all unused Credits.
(d) Credits may not be redeemed for cash, used to offset any amounts owed, or applied to any other product or service, except as expressly authorized in writing by Company.
(e) While all invoices are current, Customer may request a Scheduling Pause (suspension of new appointments while billing continues) for up to sixty (60) days in any rolling twelve (12) month period. A Scheduling Pause does not extend the expiration date of any Credits.
17. Relationship of the Parties. The relationship between the parties is that of independent contractors. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever.
22. Amendment and Modification. Company may modify these Terms from time to time by posting an updated version at revenx.com/tos and updating the “Last Updated” date. The version in effect on the date of each order will govern that order. Material changes will apply prospectively only.
